胜诉获超38亿债权，能否兑现仍存悬念。

　　4月14日晚间，永辉超市（601933.SH）发布公告，其与大连御锦贸易有限公司（下称“大连御锦”）、王健林、孙喜双及大连一方集团关于万达商管股权转让尾款的仲裁案尘埃落定，上海国际经济贸易仲裁委员会作出终局裁决，永辉超市胜诉，涉案金额合计38.57亿元，王健林等三方需对全部债务承担连带保证责任。

　　历经连续五年亏损、资产负债率逼近90%的困境后，这笔巨额债权的确认，或将成为永辉超市“回血”的重要契机。

获38.57亿债权

　　回溯案件全貌，这场仲裁的核心源于一笔两年前的股权转让交易。

　　2023年12月，永辉超市将其持有的万达商管3.89亿股股权以45.3亿元的总价转让给大连御锦，双方约定分八期支付转让款。

　　然而，交易履约过程并未如期推进，大连御锦支付前三期款项（合计8.91亿元）后，便不得不重新协商款项问题。双方于2024年7月签订《补充协议》，将剩余36.39亿元转让款重新约定分期支付，同时新增万达集团董事长王健林、大连一方集团实控人孙喜双及大连一方集团作为连带保证人，为这笔债务提供担保。

　　资料显示，大连御锦成立于2023年11月，注册资本仅50万元，其为大连一方集团100%持股的孙公司。大连一方集团实际控制人孙喜双是王健林多年好友，双方在地产、文旅领域合作密切。

　　即便有地产大佬担保加持，大连御锦仍未能履行约定，2024年9月30日第四期3亿元款项逾期未付。无奈之下，永辉超市于当年10月正式提起仲裁，直至此次终局裁决落地。

　　上海国际经济贸易仲裁委员会仲裁庭裁决，大连御锦需向永辉超市支付剩余股份转让款36.39亿元，并支付加速到期违约金约2.18亿元以及律师费、仲裁费等费用。

　　值得注意的是，这些款项需要在裁决生效之日起二十日内履行完毕。同时裁决第二被申请人（王健林）、第三被申请人（孙喜双）、第四被申请人（大连一方集团）为第一被申请人（大连御锦）上述债务承担连带保证责任。

　　也就是说，若大连御锦无力支付上述总计超过38亿元的款项，王健林、孙喜双以及大连一方集团将自掏腰包，为这笔庞大的债务“买单”。

　　值得注意的是，永辉超市本次出售的股权是2018年从大连一方集团手中买来的，彼时其斥资35.31亿元买下万达商管1.5%的股份，欲搭上万达广场的东风，加速门店扩张、抢占商超布局先机。

　　但随着企业经营陷入困境，为盘活公司资产、缩小投资规模，永辉超市于2023年将这部分股权转售给大连一方集团控股的大连御锦，这才有了此次追债风波。

五年亏超百亿元

　　这场胜诉的背后，是永辉超市近年来深陷的业绩困境。

　　财报显示，2021年至2025年的五年间，永辉超市持续处于亏损状态，营收规模从2021年的911亿元大幅缩水至2024年的535亿元；五年累计归母净利润亏损超120亿元，扣非后亏损累计更是高达141亿元。同时亏损额还在进一步扩大，2025年公司归母净利润亏损25.5亿元，同比增亏74%。

　　亏损扩大与永辉超市持续推进“胖改”紧密相关。

　　2025年，公司调改315家门店，并关闭381家与公司未来战略定位不符的门店。门店调改对利润的影响主要包括调改相关的资产报废损失、停业装修营业收入损失、一次性开办费投入等，其中资产报废及一次性投入合计约8.8亿元；门店闭店也产生了较大损失，主要包含资产报废损失、人员优化离职补偿、租赁相关的违约赔偿等，叠加金融资产公允价值变动损失及长期资产减值，进一步压缩了利润空间。

　　同时，永辉超市的财务状况在不断下滑。2025年年末，其总资产降至304.82亿元，同比下降28.7%；归属于上市公司股东的所有者权益仅剩余18.59亿元，同比降幅达58.13%。去年第三季度，其资产负债率更是攀升至89%。

　　对于深陷困境的永辉超市而言，38.57亿元的仲裁胜诉无疑是一场“及时雨”，但这份利好的实际价值，最终仍取决于债权的执行进度。

　　不容忽视的是，债权执行的难度或高于胜诉本身。当前，王健林及万达系仍处于债务化解关键期，流动性持续紧张，大连御锦与大连一方集团的偿债能力同样不容乐观，这意味着被申请人或许不会在20日内主动付清全部款项。永辉超市下一步或将向法院申请强制执行，而资产查封、冻结、拍卖的流程往往更加漫长。

　　这场“纸面富贵”能否转化为“真金白银”，仍有待检验。
